Cross-borders transfers of company seats

An own-initiative report on cross-border transfers of company seats. The amendments call on the Commission to propose a directive coordinating national rules so a company can transfer its registered office without winding-up or loss of legal personality, invoking freedom of establishment and Court of Justice case-law; they address protection of minority shareholders, creditors and employees, employee participation, corporate governance, and corporation tax.
