A legislative proposal on cross-border conversions, mergers and divisions of limited liability companies. The amendments tie company mobility and freedom of establishment to protection for employees, creditors and minority shareholders, anti-abuse checks against artificial arrangements circumventing labour, social-security and tax obligations, disclosure of draft terms and an independent expert report, exemptions for micro and small enterprises, exit rights with cash compensation, and safeguards for employee participation including negotiation with workers.
